Wendy’s stock climbed by 15 percent on Wednesday following a proposal to buy the company. The bid comes as the fast food chain faces continued challenges with meat prices and consumer spending. Investors responded quickly to the news, driving the share price up sharply.

The offer values each Wendy’s share at $7.35 in cash. This price represents a premium of nearly 19 percent above the closing price from Tuesday. The proposal was submitted by Trian Fund Management, a firm led by investor Nelson Peltz, along with several other partners. According to a regulatory filing released on Wednesday, Trian already holds a 16.3 percent stake in the company.

In a letter to the Wendy’s board of directors, Peltz argued that making the company private would yield the best results for its stakeholders. He described the current moment as a critical juncture for the brand. Peltz noted that the external environment has become increasingly difficult due to pressure on American consumers, economic uncertainty, and persistent inflation in raw materials.

The investor specifically pointed to rising competition within the quick service restaurant sector. He highlighted that the burger category faces particular intensity in this crowded market. Peltz has a history of investing in major corporations, including Procter & Gamble, Disney, and DuPont. His involvement often involves active engagement with company leadership to drive operational changes.

Wendy’s was founded in 1969 by Dave Thomas and named after his daughter. The chain is known for its square burgers and Frosty desserts. However, the company has struggled in recent years. Same-store sales, which track revenue from locations open for at least a year, have declined for more than two years. Those sales dropped again during the first two quarters of 2026.

The stock has fallen by 25 percent over the last year as part of a multi year decline. On Wednesday, shares rose by 91 cents to reach $7.05. The company, which is headquartered in Dublin, Ohio, declined to comment on the offer. Wendy’s is scheduled to report its quarterly financial results next week.

Analysts currently estimate that Wendy’s will post earnings of 9 cents per share. They project average sales of $531 million for the period. The company will need to evaluate the proposal before deciding whether to accept the cash offer from Peltz and his partners.
